The trend in computer contracts is increasingly towards buying services rather than the means of providing those services. One of the most important trends in the procurement of IT services is outsourcing. The term "outsourcing" indicates a complex transaction in which an organisation that previously provided services using its own internal resources (in the form of employees and assets) transfers the whole or some part of those internal resources to an external supplier on terms that it will purchase services from that supplier for a defined period. It can be divided into three elements:

  • A transfer of the internal resources.
  • An agreement to purchase services (services agreement).
  • "Exit management", when the agreement to purchase services ends.

An IT outsourcing event can affect the entire IT capability of a company and be limited to one function, such as a help-desk service. It can include data services (for example, a stand-alone data centre) or voice services (for example, a multi-site voice network) or a mixture of both. Sometimes an outsourcing transaction involves a transfer of assets, but not employees; sometimes it involves a transfer of employees but not assets; and sometimes it involves a transfer of neither. The services which are purchased from the supplier may be the same as those previously purchased internally or may be significantly enhanced. Normally, the external supplier is entirely independent of the user, but occasionally there is a joint venture between the user and a supplier. Sometimes the user outsources different sections of his in-house capability to different suppliers, occasionally on terms that each supplier enters into formal contractual relationship with the others.
