BRIEF:

Advising various Universities in relation to the commercial agreement for the exploitation and transfer of know how and ip by setting up a joint venture (spin out company) with an inventor. A professor were to be seconded to the joint venture. The funds and the time were both limited.

SOLUTION:

First of all, I had to identify the intellectual property involved and the owners, then I drafted and negotiated the transfer of know-how and licence (patent and trademark) agreement between the various shareholders. I negotiated and concluded the secondement agreement and the assignment and licence back of intellectual property rights. 

RESULT:

All done within the pre-agreed time and budget and work started on time.
